Job Description

A leading law firm is seeking a skilled Senior Paralegal to support its Private Client Services practice. This role focuses on tax election filings and tax-related submissions across federal, state, local, and international jurisdictions. The position includes direct communication with attorneys, clients, and government agencies, while ensuring accurate compliance and timely filing.

Responsibilities:

  • Prepare, file, and track a range of IRS tax election forms (e.g., Section 83(b), Forms 8832, 8875, 2553, 1023, SS-4).
  • Serve as a primary liaison with the IRS, attorneys, clients, and government agencies regarding tax filings and compliance.
  • Assemble, distribute, and track signature documents; maintain original records and manage document workflows.
  • Support attorneys and cross-functional practice groups on various tax and corporate matters.
  • Troubleshoot and resolve filing issues to ensure accurate and timely submissions.
  • Perform legal research on tax laws and regulations at federal, state, and local levels.
  • Maintain and monitor legal and filing deadlines.
  • Assist with formation of new business entities, including corporations, LLCs, partnerships, benefit corporations, and nonprofits in California and Delaware.
  • Obtain certified copies, good standing certificates, and coordinate corporate documentation processes.
  • Oversee entity revival processes with various agencies (FTB, Secretary of State, Attorney General's Office, etc.).
  • Handle general corporate governance tasks, including drafting minutes, resolutions, and consents; maintaining minute books, ledgers, cap tables; and filing required regulatory documents.
  • Coordinate with corporate service providers, notaries, and registered agent services.
  • Perform additional responsibilities as assigned.

Qualifications:

  • Bachelor’s degree required.
  • 5+ years of paralegal experience in a law firm or multinational corporate environment.
  • Strong working knowledge of California and federal tax procedures.
  • Proficiency with legal and tax research tools (e.g., BNA, Checkpoint, VitalLaw/Wolters Kluwer).
  • Experience with corporate management tools such as Carta, Excel, and EDGAR.
  • Excellent verbal and written communication skills with strong client service experience.
  • Ability to organize competing priorities and meet deadlines under minimal supervision.
  • High degree of professionalism, attention to detail, and responsiveness.
  • Advanced proficiency with Microsoft Office Suite and legal document management software.

Compensation:

This position offers a competitive compensation and benefits package. The expected salary range for a California-based candidate is $105,000–$130,000 annually, depending on experience and qualifications.
